1. The agreement
These affiliate program terms ("Affiliate Terms") are a binding agreement between Adoric Technologies LTD ("Adoric", "we", "us") and the person or business that applies to and participates in our affiliate program ("you", "affiliate"). By submitting an application through our affiliate sign-up page or by promoting Adoric using a tracking link we issue you, you accept these Affiliate Terms.
Our Terms of service and Privacy policy also apply to you. Where those documents conflict with these Affiliate Terms on a matter specific to the affiliate program, these Affiliate Terms take precedence.
2. Eligibility and approval
You must be at least 18 years old and legally able to enter a contract. Participation is by approval: we review each application and may accept or decline it at our discretion. We may also ask for further information about how you intend to promote Adoric before approving you.
You are responsible for the accuracy of the details in your application, including your payout details and tax information, and for keeping them up to date. Existing Adoric employees, contractors and their immediate family are not eligible to earn commission.
3. Referral links and tracking
On approval we issue you a unique tracking link and access to a dashboard showing clicks, installs and payouts. A referral is attributed to you when a merchant reaches Adoric through your link and installs one of our apps within the attribution window shown in your dashboard.
Attribution is determined by our tracking system and, where the install happens through an app store, by that store's own attribution data. Where two affiliates could claim the same merchant, the most recent qualifying click wins. You may not alter, mask or wrap your link in a way that interferes with tracking, and you may not use it for your own stores or for merchants you already control.
4. Commission
You earn a recurring share of the net subscription revenue we actually collect from each merchant you refer, for as long as that merchant stays subscribed and remains attributed to you. The current commission rate and attribution window are published on the affiliate sign-up page and in your dashboard.
Commission is calculated on net revenue: it excludes taxes, app-store fees, payment-processing fees, refunds, chargebacks, credits and discounts. Commission is not earned on free plans, free trials that do not convert, or on a merchant's own self-serve upgrades where no subscription revenue is collected. We may change the commission rate for future referrals by giving you at least 30 days' notice; referrals already attributed keep their existing rate for the notice period.
5. Payouts
Commission is confirmed once the underlying merchant payment has cleared and the refund window has passed. Payouts are made monthly in arrears, in the currency shown in your dashboard, subject to the minimum payout threshold published there. Balances below the threshold roll over to the next period.
You are responsible for your own taxes and for providing any tax documentation we reasonably require before we can pay you. Where a merchant refunds, cancels or charges back after commission has been paid, we may deduct the corresponding amount from your next payout. We may withhold a payout while we investigate suspected fraud or a breach of these Affiliate Terms.
6. How you may promote Adoric
You may promote Adoric on your own website, blog, newsletter, social channels, videos, courses, communities and client work. You must describe our apps and pricing accurately, keep your claims consistent with our published materials, and disclose clearly that your links are affiliate links wherever the law or the platform requires it.
You must not: bid on Adoric brand terms or close variants in paid search; run ads that lead directly to adoric.com or to an app-store listing; use domains, handles or app names that could be mistaken for ours; send unsolicited email or messages; post on coupon, cashback or discount-code sites unless we agree in writing; use cookie stuffing, forced clicks, pop-unders, toolbars, extensions or bots; promise discounts, refunds or features we do not offer; or promote Adoric alongside adult, illegal, hateful or misleading content.
7. Use of our brand
For as long as you are an approved affiliate, we grant you a limited, non-exclusive, revocable, non-transferable licence to use the Adoric name, logo and the promotional assets we supply, solely to promote our apps and in line with any brand guidance we give you. You may not modify our logo, register our marks, or imply that you are Adoric, that you are endorsed beyond the affiliate relationship, or that you speak on our behalf.
We own all rights in our brand, apps and materials. Anything you create yourself remains yours, and you grant us permission to reference publicly available examples of your promotion in our own affiliate materials.
8. Independent relationship
You take part as an independent contractor. Nothing here creates an employment relationship, partnership, joint venture or agency. You cannot enter agreements, make commitments or accept payments on our behalf, and you are responsible for your own costs, staff and compliance.
9. Data protection
Each side is an independent controller for the personal data it handles under this program: we process your affiliate account and payout data, and you are responsible for any personal data you collect from your own audience. If you email or message people about Adoric, you must have a lawful basis for doing so and honour opt-out requests. Our Privacy policy explains how we handle your data as an affiliate.
10. Suspension and forfeiture
We may suspend your account, pause tracking or withhold and cancel unpaid commission where we reasonably believe you have breached these Affiliate Terms, generated referrals by fraudulent, artificial or misleading means, or created a legal or reputational risk for us or for the app stores we depend on. Where the issue can be fixed, we will normally tell you what needs to change first.
11. Ending the arrangement
Either side may end participation at any time by giving written notice. You may also simply stop using your link and remove it from your channels. On termination your licence to use our brand ends and you must remove Adoric branding from your materials.
Commission already confirmed at the date of termination is paid at the next scheduled payout, subject to the minimum threshold. Unless we terminate you for breach or fraud, recurring commission on merchants already attributed to you continues for 12 months after termination and then ends. We may also close or change the affiliate program as a whole with 30 days' notice.
12. Disclaimers and liability
We do not guarantee any level of earnings, traffic, conversion or tracking accuracy, and we do not warrant that the program or dashboard will be uninterrupted or error-free. To the extent permitted by law, our total liability to you under these Affiliate Terms is limited to the commission paid or payable to you in the 6 months before the event giving rise to the claim. Neither side is liable for indirect or consequential loss, including lost profits or goodwill.
You agree to indemnify us against claims arising from your promotion of Adoric, including inaccurate claims, advertising or consumer-law breaches, and any infringement of a third party's rights.
13. Governing law and changes
These Affiliate Terms are governed by the laws of the State of Israel, and the competent courts of Tel Aviv-Yafo have exclusive jurisdiction, without affecting mandatory protections in your country of residence. Before starting proceedings, both sides will try to resolve the dispute in good faith by contacting the other.
We may update these Affiliate Terms and will post the new version here with a revised date. Material changes take effect 30 days after we notify active affiliates. If a provision is unenforceable, the rest stays in force. You may not assign your participation without our consent; we may assign these terms as part of a merger or sale.
